Non-accredited Investor

Investors not considered accredited for a Regulation D offering because they have not met the net worth requirement. This type of investor has a net worth under $1 million and has earned less than $200,000 annually in the last two years. Under Rules 505 and 506 of Regulation D, an investment can be offered to a maximum of 35 non-accredited investors.
