Drag-Along Rights

A majority shareholders' right, obligating minority shareholders, whose shares are bound into the shareholders' agreement, to sell their shares into an offer the majority wishes to execute, assuming the bidder for the shares wants 100%. This right protects the majority shareholders by forcing the other investor(s) to exit should the investing shareholder exit. The minority shareholders typically exit on the same price and terms as the majority holder.
